THE COMPANY REFERS TO THE FOREGOING PRODUCTS AND/OR SERVICES HEREIN COLLECTIVELY AS “SERVICES.”

THIS DOCUMENT, THE TERMS OF SERVICE, IS A LEGAL AGREEMENT BETWEEN THE COMPANY AND YOU WHICH GOVERNS YOUR USE OF THE SERVICES AND THE WEBSITE. YOUR USE OF THE SERVICES AND THE WEBSITE CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO ALL OF THE TERMS AND CONDITIONS IN THESE TERMS OF SERVICE AND THE PRIVACY POLICY INCORPORATED HEREIN; AND YOUR REPRESENTATION THAT YOU ARE AT LEAST 18 YEARS OF AGE OR OLDER, AND HAVE THE ABILITY TO ENTER INTO A CONTRACT. If you accept these Terms of Service and using the Services on behalf of a company, organization, or other legal entity, you represent and warrant to the Company that you have full power and authority to do so.

EFFECTIVE DATE.

This Agreement is effective (“Effective Date”) on the date you first access or use the Services and/or the Website, whichever is earlier.

FEES.

Upon notice to you, the Company may increase any fees specified in connection with its products or Services.

YOU MAY PAY BY CREDIT CARD BY WAY OF THE COMPANY’S THIRD-PARTY PAYMENT PROCESSOR. YOU AGREE NOT TO FILE A CREDIT OR DEBIT CARD CHARGEBACK WITH REGARD TO ANY AMOUNT OF FEES CHARGED IN CONNECTION WITH THE SERVICES. INSTEAD, YOU AGREE TO ABIDE BY THE AND INSTEAD ABIDE BY THE DISPUTE RESOLUTION PROCEDURES OUTLINED HEREIN, BELOW.

ACCOUNT.

By creating an online account with the Company on its Website (“Account”), you are granted a right to use the Services provided by the Company subject to the restrictions set forth in these Terms of Service and the Privacy Policy, incorporated by reference herein.

Our Account registration process will ask you for information including your name, email and or physical address, phone number, etc. (hereinafter, collectively referred to as “Personal Information,” as previously defined in our Privacy Policy). By registering for an Account, you agree to provide true, accurate, current and complete information about yourself as prompted by the registration process. You further agree that you will not knowingly omit or misrepresent any material facts or information, and that you will promptly enter corrected or updated information in your Account, or notify us in writing regarding your corrected or updated information.

We may verify your provided information, as required for your use of and access to the Services. You agree to maintain your Account solely for your own use. You agree that you will not allow another person to use your Account. We reserve the right to suspend or terminate the Account of any User who provides inaccurate, untrue, or incomplete information, or who fails to comply with the account registration requirements.

You are solely and entirely responsible for maintaining the confidentiality of your Account, and for any charges, damages, liabilities or losses incurred or suffered as a result of you failure to do so. Furthermore, you are solely and entirely responsible for any and all activities that occur under your Account, including any charges incurred relating to the Services.

The Company is not liable for any harm caused by or related to the theft of your Account, your disclosure of your Account, or your authorization to allow another person to access or use the Services using your Account. You agree to immediately notify us of any unauthorized use of your Account or any other breach of security known to you. You acknowledge that the complete privacy of your data and messages transmitted while using the Services and/or the Website cannot be guaranteed in the event of breach.

TERMINATION.

The Company reserves the right, in its sole discretion, to terminate your Account if you violate these Terms of Service or for any reason or no reason at any time. We may also suspend your access to the Services and/or Website, and your Account if you: (a) have violated the terms of these Terms of Service, any other agreement you have with the Company; (b) pose an unacceptable credit or fraud risk to us or Users; (c) provide any false, incomplete, inaccurate, or misleading information or otherwise engage in fraudulent or illegal conduct; or (d) for any other reason in the Company’s sole discretion.

If your Account is terminated or suspended for any reason or no reason, you agree: (a) to continue to be bound by these Terms of Service; (b) to immediately stop using the Services, (c) that any licenses granted to you under these Terms of Service shall end; (d) that we reserve the right (but have no obligation) to hide or delete all of your information and account data stored on our servers; and (e) that the Company shall not be liable to you or any third party for termination or suspension of access to the Services or for deletion or hiding of your information or account data. You agree that the Company may retain and use your information and account data as needed to comply with investigations and applicable law, and as indicated in the Company’s Privacy Policy.

However, we will not be liable to you for compensation, reimbursement, or damages in connection with your use of the Services, or in connection with any termination or suspension of the Services. Any termination of these Terms of Service does not relieve you of any obligations to pay any Fees or costs accrued prior to the termination and any other amounts owed by you to us, as provided in these Terms of Service.

FEES/PAYMENT PROCESSING.

Users of the Services will be required to provide their credit card or bank account details to the Company to process payment(s). The Company collects, analyzes and relays information to allow the third party payment processor, Auth.net, to process these payment(s). By agreeing to process your payment(s) vis a vis our third-party payment processor, Auth.net, you expressly agree to its terms and conditions, which may be found here.

You authorize us to process payment(s) for the Services, using the payment information you have supplied. Specifically, you will be required to provide your credit card or bank account details to the Company and/or the third-party service provider, and/or register with the third-party service provider to process payment(s) for the Services. You agree to provide the Company and/or the third-party service provider with accurate and complete information about you and/or your business; and you authorize the Company to share it and any transaction information related to your use of the Services and/or Website with the third-party service provider for the purpose of processing payment(s), including but not limited to the service fees owed to Company for the use of the Service.

The Company reserves the right, in its sole discretion (but not the obligation), to: (i) place on hold any payment and out of pocket expenses; and/or (ii) refund, provide credits or arrange for the third-party service provider to do so, as necessary.

If you believe a payment has been processed in error, you must provide written notice to the Company and Auth.net within thirty (30) days after the date of payment specifying the nature of the error and the amount in dispute. If notice is not received by the Company and Auth.net within such thirty (30) day period, the payment will be deemed final and valid.

The Company is not liable for any losses relating to chargebacks, fraudulent charges, or other actions by any User that are deceptive, fraudulent or otherwise invalid. By using the Services, you hereby release the Company from any liability arising from fraudulent actions. You will also use best efforts to promptly notify the Company of any fraudulent actions which may affect the Company’s provision of the products and/or Services. The Company reserves the right, in its sole discretion, to terminate the account of any User that engages in, or enables any other User to engage in, fraudulent actions.

While the Company takes what it believes to be reasonable efforts to ensure secure transmission of your information to the third-party service provider that assesses and processes payment(s), the Company is not responsible for any fees or charges assessed by third party service providers, or any errors in the processing of payment(s) by third party service providers, including any errors that result from third-party negligence, improper transmission of payment information, your mistaken submission of payment information, or your submission of erroneous payment information. Your sole recourse is with the third-party service provider which processed the payment(s).

RETURNS.

You may return any item purchased from pureloxsale.shop (excluding Innersense cosmetic bag, all travel size/2 oz. products, and samples). Returns must be received within 21 days of receipt for a full refund, less shipping charges when applicable. Refunds must be applied to the original credit card used for purchase. When products are purchased from our retail or salon partners, we are unable to accept returns directly. Please return the product(s) to the original retailer or salon, and reference their company return policy to ensure proper handling.

The Innersense Organic Beauty mobile message service (the "Service") is operated by Innersense Organic Beauty (“Innersense Organic Beauty”, “we”, or “us”). Your use of the Service constitutes your agreement to these terms and conditions (“Mobile Terms”). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to Innersense Organic Beauty’s SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of Innersense Organic Beauty through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with Innersense Organic Beauty. Your participation in this program is completely voluntary.

We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. You are solely responsible for all charges related to SMS/text messages, including charges from your wireless provider.

You may opt-out of the Service at any time. Text the single keyword command STOP to 467767 or click the unsubscribe link (where available) in any text message to cancel. You'll receive a one-time opt-out confirmation text message. No further messages will be sent to your mobile device, unless initiated by you. If you have subscribed to other Innersense Organic Beauty mobile message programs and wish to cancel, except where applicable law requires otherwise, you will need to opt out separately from those programs by following the instructions provided in their respective mobile terms.

INDEMNIFICATION.

You agree to indemnify, defend, and hold harmless the Company and its Parties from and against any and all third party claims alleged or asserted against any of them, and all related charges, damages and expenses (including, but not limited to, reasonable attorneys’ fees and costs) arising from or relating to: (a) any actual or alleged breach of any provisions of this Agreement; (b) any access to or use of the Services and/or Website; (c) any actual or alleged violation by you, an affiliate, or end User of the intellectual property, privacy or other rights of a third party; and (d) any dispute between you and another party and/or User regarding ownership of or access to your data.

NO LIABILITY.

THE COMPANY EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY AND WILL NOT BE RESPONSIBLE FOR ANY DAMAGES OR LOSS CAUSED, OR ALLEGED TO BE CAUSED, BY THE TRANSMISSION OF CARDHOLDER DATA PRIOR TO ITS ENCRYPTION AND RECEIPT BY SERVER(S) OWNED OR CONTROLLED BY THE COMPANY. THE EXCLUDED DAMAGES WILL INCLUDE, WITHOUT LIMITATION, DAMAGES RESULTING FROM FRAUD, EMBEZZLEMENT, THEFT, IDENTITY THEFT, OR INVASION OF PRIVACY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY PARTIES’ AGGREGATE LIABILITY, COLLECTIVELY, FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, EXCEED THE FEES PAID PRECEDING THE DATE OF THE INCIDENT. ALL LIMITATIONS OF LIABILITY OF ANY KIND (INCLUDING IN THIS SECTION AND ELSEWHERE IN THIS AGREEMENT) APPLY WITH RESPECT TO BOTH THE COMPANY AND THE COMPANY PARTIES.

IN NO EVENT WILL THE COMPANY HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, HOWEVER CAUSED, OR FOR ANY LOST PROFITS, LOSS OF USE, DATA OR OPPORTUNITIES, COST OF DATA RECONSTRUCTION, COST OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THE SERVICES OR THIRD PARTY OFFERINGS, INCLUDING BUT NOT LIMITED TO THE USE OR INABILITY TO USE THE SERVICES, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, EVEN IF THE COMPANY, ITS LICENSORS OR SUBCONTRACTORS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES.

THE COMPANY EXPRESSLY DISCLAIMS ANY LIABILITY THAT MAY ARISE BETWEEN USERS RELATED TO OR ARISING FROM USE OF THE SERVICES. YOU HEREBY RELEASE AND FOREVER DISCHARGE THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND LICENSORS FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES (ACTUAL OR CONSEQUENTIAL) OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, CONTINGENT OR LIQUIDATED, ARISING FROM OR RELATED TO ANY DISPUTE OR INTERACTIONS WITH ANY OTHER USER, WHETHER ONLINE OR IN PERSON, WHETHER RELATED TO THE PROVISION OF SERVICES OR OTHERWISE.

THE FOREGOING EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

CHOICE OF LAW.

These Terms of Service and the relationship between you and the Company shall be governed by the laws of the State of California without regard to its conflict of law provisions.

DISPUTE RESOLUTION.

We want to address your concerns without needing a formal legal case. Before filing a claim against the Company, you agree to try to resolve the Dispute informally by contacting support@pureloxsale.shop. We’ll try to resolve the Dispute informally by contacting you through email. If a dispute is not resolved within 15 days after submission, you or the Company may bring a formal proceeding.

INFORMAL DISPUTE RESOLUTION.

We want to address your concerns without needing a formal legal case. Before filing a claim against the Company, you agree to try to resolve the Dispute informally by contacting support@pureloxsale.shop. We’ll try to resolve the Dispute informally by contacting you through email. If a dispute is not resolved within 15 days after submission, you or the Company may bring a formal proceeding.

WE BOTH AGREE TO ARBITRATE.

You and the Company agree to resolve any Disputes through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.

OPT-OUT OF AGREEMENT TO ARBITRATE.

You can decline this agreement to arbitrate by contacting support@pureloxsale.shop within 30 days of first accepting these Terms of Service and stating that you (include your first and last name) decline this arbitration agreement.

ARBITRATION PROCEDURES:

The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in Contra Costa County, California, or any other location we agree to.

Arbitration Fees.

The AAA rules will govern payment of all arbitration fees.

EXCEPTIONS TO AGREEMENT TO ARBITRATE.

Either you or the Company may assert claims, if they qualify, in small claims court in Contra Costa County, CA, or any United States county where you live or work. Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the the Company’s products or the Company Service, or infringement of intellectual property rights (for example, trademark, trade secret, copyright or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above.

NO CLASS ACTIONS.

You may only resolve Disputes with the Company on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren’t allowed under this Agreement.

JUDICIAL FORM FOR DISPUTES.

In the event that the agreement to arbitrate is found not to apply to you or your claim, you and the Company agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts of Contra Costa County, California. Both you and the Company consent to venue and personal jurisdiction there. We both agree to waive our right to a jury trial.

LIMITATION ON CLAIMS.

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the the Company’s products or Services must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be barred forever.

 

 MISCELLANEOUS PROVISIONS

 

RELATIONSHIP OF THE PARTIES.

This Agreement does not, and will not be construed to, create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and the Company.

ENTIRE AGREEMENT.

These Terms of Service and Privacy Policy referenced herein constitute the entire agreement between you and the Company concerning the subject matter herein and the use of the Services and/or Website. They supersede any and all previous agreements, written or oral, between you and the Company, including previous versions of these Terms of Service and/or Privacy Policy.

MODIFICATION.

The Company reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement or delete any of these Terms of Service and/or Privacy, and any and all referenced and/or incorporated exhibits or policies, programs and guidelines. The Company will endeavor to notify you of any material changes by email, but will not be liable for any failure to do so. If any future changes to these Terms of Service and/or Privacy Policy are unacceptable to you or cause you to no longer be in compliance with these Terms of Service, you must terminate, and immediately stop using, the Services. Your continued use of the Services following any revision to these Terms of Service constitutes your complete and irrevocable acceptance of any and all such changes.

ASSIGNMENT.

The Company may assign these Terms of Service and/or Privacy Policy in whole or part at any time. However, you may not assign, delegate or transfer this Agreement in whole or in part, without the Company’s prior written consent.

NO WAIVER.

Any failure of the Company to enforce or exercise a right provided in these Terms of Service and/or the Privacy Policy is not a waiver of that right.

SEVERABILITY.

Should any provision of these Terms of Service be found invalid or unenforceable, the remaining terms shall still apply.

FORCE MAJEURE.

Neither Party will be liable for any failure or delay in performance under this Agreement (other than for delay in the payment of money due and payable hereunder) for causes beyond that Party’s reasonable control and occurring without that Party’s fault or negligence, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems (other than those involving the Company’s or your employees, respectively), computer attacks (by government/nation entities or otherwise) or malicious acts, such as attacks on or through the Internet, any Internet service provider, telecommunications or hosting facility. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.

ELECTRONIC COMMUNICATIONS AND SIGNATURES

You agree to the use of electronic communication in order to enter into agreements and place orders, and to the electronic delivery of notices, policies and records of transactions initiated or completed through the Services. Furthermore, you hereby waive any rights or requirements under any laws or regulations in any jurisdiction that require an original (non-electronic) signature or delivery or retention of non-electronic records, to the extent permitted under applicable law.

NOTICES.

Any notices provided by the Company under this Agreement and/or the Privacy Policy may be delivered to you to the email address(es) we have on file for your Account. You hereby consent to receive notice from us through the foregoing means, and such notices will be deemed effective when sent if on a business day, and if not sent on a business day then on the next business day. Except as otherwise specified in the Agreement, any notices to the Company under this Agreement must be delivered either via email to support@pureloxsale.shop or via first class registered U.S. mail, overnight courier, to: Innersense Organic Beauty, Inc., 5118 Port Chicago Highway, Concord, CA 94520.

I HEREBY ACKNOWLEDGE THAT I HAVE READ AND UNDERSTAND THE FOREGOING TERMS OF SERVICE, INCLUDING THE COMPANY’S PRIVACY POLICY, AND AGREE THAT MY USE OF THE SERVICES IS AN ACKNOWLEDGMENT OF MY AGREEMENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THESE TERMS OF SERVICE AND THE COMPANY’S PRIVACY POLICY INCORPORATED HEREIN.


1Authorized service providers are companies that perform certain services including, but not limited to, fulfilling orders, processing credit card payments, delivering packages, providing customer service and marketing assistance, performing business and sales analyses, supporting the functionality of the Services, and supporting contests, sweepstakes, surveys and other features we offer, on our behalf.  These service providers may have access to your Personal Information, but to the extent necessary to perform or fulfill their business purpose. We do not permit them to share or use any of your Personal Information for any other purpose. Service providers may be located inside or outside of the European Economic Area (“EEA”). In particular, our service providers are based in the United States.

2Affiliate businesses are those businesses with whom we may affiliate to sell our products or Services.  We may share information we collect, including Personal Information, with affiliated businesses. Sharing such information with our affiliates enables us to provide you with information about a variety of products and Services that might interest you.  We instruct all affiliated businesses to comply with applicable privacy and security laws and, at a minimum, in any commercial email they send to you, to give you the opportunity to choose not to receive such email messages in the future. Affiliated businesses may be located inside or outside of the EEA.  In particular, any of our affiliated businesses are based in the United States.

³ Business partners are typically merchants offering the products, services, promotions, contests and/or sweepstakes in connection with or somehow related to our own products and Services.  We will not share your Personal Information with business partners unless you choose to participate in their offer or program. When you choose to engage in a particular offer or program, you authorize us to share your email address and other Personal Information with the relevant business partner.  Business partners may be located inside or outside of the EEA. In particular, our business partners are based in the United States.

1. Purpose

Innersense Organic Beauty ("Innersense") is committed to respecting internationally recognized human rights in its operations and value chain.

We seek to avoid causing or contributing to adverse human rights impacts and to identify, prevent, mitigate, and address potential human rights risks connected to our business. Where appropriate, we will cooperate in providing or supporting remediation through legitimate processes.

This policy communicates our commitment, responsibilities, and approach to respecting human rights across our business.


2. Scope

This policy applies across Innersense's own operations and value chain and covers all individuals and communities who may be reasonably affected by our business activities, as relevant, including:

  • Employees and other workers

  • Temporary workers and contractors

  • Suppliers and their workers

  • Manufacturers and service providers

  • Business partners

  • Customers and product users

5. Human Rights Due Diligence and Implementation

Innersense takes a practical and proportionate approach to human rights due diligence appropriate to its business, operations, and value chain.

Innersense seeks to identify, assess, and address actual and potential adverse human rights impacts connected to its operations and value chain. Where potential impacts are identified, Innersense seeks to consider appropriate steps to prevent, mitigate, or address them.

Relevant human rights considerations may be addressed through existing business processes, including employee policies, supplier and partner onboarding, purchasing or sourcing decisions, customer and stakeholder concern review, and other due diligence activities, as appropriate.

Innersense seeks to work with suppliers and business partners that share its commitment to respecting human rights. Human rights expectations may be incorporated into relevant supplier and partner onboarding or other due diligence activities, as appropriate.


6. Reporting, Accountability, and Remediation

Employees, workers, suppliers, contractors, business partners, customers, and other stakeholders may raise concerns regarding potential human rights issues through Innersense's available reporting channels, including the Stakeholder Grievance Procedure where applicable.

Innersense prohibits retaliation against anyone who raises a concern in good faith or participates in an investigation, consistent with applicable law and company policy.

Where Innersense has caused or contributed to an adverse human rights impact, we will provide for or cooperate in appropriate remediation through legitimate processes consistent with the circumstances.


Responsible Lobbying and Public Policy Engagement Policy

 

1. Purpose and Scope

Innersense Organic Beauty is committed to responsible lobbying and public-policy engagement that supports positive impact on society and the environment. This public policy describes the standards, accountability, and controls that guide lobbying, political engagement, and participation in intermediary organizations on behalf of Innersense. We use the B Lab Standards and other recognized impact frameworks to help evaluate whether public-policy engagement is consistent with our commitments to human health, environmental protection, social equity, transparency, and responsible business.


This policy applies to Innersense Organic Beauty, employees and leaders acting on behalf of the company, and third parties authorized to represent or support Innersense in lobbying or public-policy engagement. This policy does not restrict employees' lawful personal political activity conducted on their own time, with their own resources, and not on behalf of Innersense.


For purposes of this policy, lobbying and advocacy may include direct or indirect communication with public officials, policymakers, or their representatives to influence public decision-making; efforts to influence public opinion beyond routine advertising or marketing with the goal of shaping public policy or regulation; and engagement through intermediary organizations, including lobbyists, consultants, trade associations, chambers of commerce, coalitions, professional associations, nonprofit partners, and similar organizations.


Innersense seeks to ensure that any lobbying or advocacy activity undertaken by or on behalf of the company is consistent with this policy and our positive-impact commitments. Proposed activity that appears materially inconsistent with this policy must be reviewed and resolved before proceeding.


2. Evidence-Based Approach

Our lobbying and public-policy positions are grounded in reliable and/or scientific data. Reliable data may include evidence-based and replicable information, independent market research, recognized international standards, reputable public data, regulatory and toxicological assessments, and credible analysis from academic, nonprofit, public health, environmental, or policy organizations. Scientific data means research conducted by scientists and published in reputable peer-reviewed journals.


Where evidence is incomplete or scientific uncertainty exists, we seek to apply a precautionary approach that prioritizes protection of human health and the environment.


3. Political Contributions and Integrity

Innersense Organic Beauty does not make direct or indirect financial or in-kind contributions to political candidates, elected representatives, people seeking office, political parties, or political action committees (PACs). Any company support for ballot-measure advocacy, nonprofit policy advocacy, coalitions, or similar public-policy engagement must be lawful, transparent, documented, reviewed, and approved through appropriate internal controls before proceeding.


Innersense prohibits bribery, corruption, facilitation payments, gifts or incentives intended to improperly influence any business or policy decision, and undisclosed conflicts of interest. Lobbying and public-policy engagement must comply with applicable law, this policy, and applicable internal controls. Where activity may trigger lobbying registration, disclosure, reporting, or other legal requirements, the company will consult internal or external legal counsel as appropriate.


4. Intermediary Organizations

Before engaging, funding, or renewing engagement with intermediary organizations that may lobby or advocate on behalf of members, funders, partners, or clients, Innersense will use disclosure and review controls designed to ensure consistency with this policy. These controls include onboarding or renewal disclosure questions, review of known advocacy priorities where relevant, escalation of potential misalignment, and retention of the disclosure or review record. This review applies to lobbyists, consultants, trade associations, chambers of commerce, coalitions, professional associations, nonprofit partners, and similar organizations that may lobby or advocate on our behalf or with our support.


The review is intended to identify whether the intermediary organization's known policy positions, advocacy priorities, or relevant public activity are materially consistent with this policy and Innersense's public purpose and positive-impact commitments. If material misalignment is identified, Innersense will determine an appropriate response based on severity, influence, and relationship type.


Possible responses may include asking the organization for clarification, documenting Innersense's own position internally, engaging the organization to encourage alignment, limiting the use of Innersense funds or brand association for advocacy activity, seeking Legal or outside counsel review, declining or ending the relationship, or publicly clarifying Innersense's position where appropriate. If an intermediary organization's lobbying position materially undermines this policy, Innersense will publicly report its position compared to the intermediary organization's position where appropriate, explain how Innersense is seeking to positively influence the organization's position when continued engagement is appropriate, and identify the circumstances that would cause Innersense to pause or end the relationship.

5. Governance, Controls, and Risk Management

The Innersense Organic Beauty Board of Directors, our highest governing body, formally reviews and approves this policy at least annually. Material changes require Board approval. The annual review may include material lobbying or advocacy activity, intermediary organization escalations, stakeholder concerns, and any recommended updates to this policy or related controls.


The Executive Team is accountable for implementing and enforcing this policy and ensuring responsible lobbying practices are integrated into relevant company decisions.


Innersense maintains appropriate internal controls to support this policy, including review of proposed lobbying or advocacy activities, review of intermediary organization alignment, documentation of approvals and positions, and escalation of actual or potential conflicts. Operational details, including intake questions, review steps, and recordkeeping expectations, are maintained internally.


6. Stakeholder Concerns and Grievance Channels

Stakeholders, including employees, workers, partners, customers, investors, affected communities, civil society organizations, and other external stakeholders, may raise concerns about Innersense Organic Beauty's business conduct, including lobbying and political engagement.


Concerns may be submitted through Innersense Organic Beauty's Contact Us form at https://innersensebeauty.com/pages/contact. In the Message field, stakeholders should identify the submission as a "Stakeholder Grievance." Customer Care routes qualifying matters to the Head of Regulatory. Innersense prohibits retaliation against any person who raises a concern in good faith, consistent with company policy and applicable law.
